Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "user") and CalmHQ Studio ("we", "us", "CalmHQ"), the publisher of Verge.

By signing up for the Verge beta waitlist, installing the Verge iOS or Apple Watch app, or otherwise using any of our services, you confirm you have read, understood, and agree to be bound by these Terms. If you don't agree, do not sign up and do not use the services.

• You must be at least 18 years old and have full legal capacity to enter binding contracts under the laws of your jurisdiction.
• You must use Verge only for lawful purposes consistent with these Terms.
• You may not use Verge if you are subject to UK / US / EU sanctions or are located in a jurisdiction where the service is prohibited.

From 15 June 2026, Verge will operate in private beta. By participating you acknowledge:

• The app is unfinished software. Features may be incomplete, buggy, change without warning, or be removed entirely. You should expect outages, data loss, and rough edges.
• Beta access is offered at our discretion to a limited group of testers. We may revoke access at any time without cause.
• Beta access is provided free of charge. No payment is collected during the beta period. Beta access does not entitle you to free access after general availability.
• Feedback is part of the deal. We expect engaged testers to submit useful product feedback. The prize draw rules below quantify "useful".
• Confidentiality. You may discuss your own experience publicly, but please do not share screenshots of pre-release features, our internal communications, or our build identifiers, until we make them public.
• No SLA. We make no service-level guarantees during beta — no uptime promise, no support response time.

Beta testers who submit at least 5 pieces of valuable feedback during the beta period are automatically entered into a prize draw. Specific rules:

• Eligibility — verified beta participants only. Your beta signup email must be confirmed via the verification link.
• "Valuable feedback" means a considered submission about the product (bug reports with reproduction steps, feature critiques with rationale, UX observations, etc.). Spam, duplicates, one-word submissions, and AI-generated noise will be excluded at our discretion. The threshold is "useful to the team building the product".
• Prizes — Apple Watch, Pro+ memberships, Pro memberships, and gift cards. Specific value, model, and quantity will be announced at beta launch and are subject to availability and budget.
• Number of winners — to be announced at beta launch.
• Draw mechanism — random selection from eligible entries. Drawn within 30 days of beta closing.
• Notification — winners contacted by email from the address linked to their beta signup. If a winner does not respond within 14 days, we will redraw.
• No cash alternative — prizes are non-transferable and may not be exchanged for cash.
• Exclusions — CalmHQ Studio team members, contractors, and immediate family are not eligible to win.
• Tax — any tax liability arising from receipt of a prize is the winner's responsibility.
• We reserve the right to modify, suspend, or cancel the draw if circumstances make it unfair or impractical to conduct.

Verge is not a financial advisor, signal service, broker, dealer, or auto-trading tool. Nothing surfaced in the app, on the website, in any email, or in any other communication from us constitutes:

• Investment, financial, tax, or legal advice.
• A recommendation to buy, sell, hold, or size any financial instrument.
• A signal, trade idea, or prediction of market direction.

Verge is a self-awareness and journalling tool. It surfaces physiological signals so you can make better-informed decisions about your own state. Every trading decision is yours and yours alone. You bear sole responsibility for your trades and the outcomes of those trades.

Trading involves significant risk. You can lose more than you deposit. Past patterns are not indicative of future results. Before making any trading decision, consult a qualified financial professional in your jurisdiction.

Verge is not a medical device and is not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

The biometric data the app surfaces is informational only. If you have concerns about your physical or mental health, please speak with a qualified healthcare professional. If you are experiencing a medical emergency, call your local emergency services immediately.

We do not provide therapy, counselling, or any form of clinical care. Suggestions surfaced by the app (such as "take a brief breathing reset") are general well-being prompts, not clinical interventions.

• You're responsible for the security of your account credentials. Don't share them.
• You must provide accurate information at signup and keep it up to date.
• One account per person. Multiple accounts to game the prize draw or evade restrictions will be disqualified.
• You can delete your account at any time from in-app settings (when available) or by emailing us.

You retain ownership of everything you create or input in the app — your journal entries, your trade tags, your reflections, your biometric history. We don't claim any IP in your content.

You grant us a limited, non-exclusive licence to store, transmit, and display your content within the app and on devices linked to your account, solely so we can provide the service. This licence ends when you delete the content or your account.

We may use fully anonymised, aggregated statistics derived from user data to improve the product (for example, to calibrate baseline algorithms). This use is statistical and irreversible; it cannot be traced back to you.

You agree not to:

• Reverse-engineer, decompile, or otherwise attempt to extract source code from Verge, except to the extent permitted by applicable law.
• Use Verge for any unlawful purpose or in a way that infringes the rights of others.
• Attempt to gain unauthorised access to our systems, other accounts, or any data not your own.
• Submit false, misleading, or fraudulent information (including in beta signups, prize-draw entries, or refund requests).
• Spam, harass, or abuse our team or other users.
• Use automated scripts or bots to interact with the service, except where we explicitly provide an API.
• Resell, sublicence, or commercially exploit access to Verge without our prior written permission.

The Verge brand, logo, app, website, design system, documentation, source code, and all related materials are owned by CalmHQ Studio and protected by UK and international copyright, trademark, and other intellectual-property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use Verge for your own non-commercial purposes, subject to these Terms. Nothing in these Terms transfers ownership of any IP to you.

The names "Verge" and "CalmHQ Studio" are trademarks of CalmHQ Studio. Other product names used on this site or in the app may be trademarks of their respective owners.

Beta is free. After general availability we expect to offer paid plans (Pro and Pro+). When that happens, the following will apply:

• Subscriptions auto-renew until cancelled. You can cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period.
• Refunds are available within 14 days of first purchase under UK consumer law, except where the service has been substantially used.
• Prices may change with at least 30 days' notice. Existing renewals are honoured at the prior price for one billing cycle.
• Payment processing is handled by Stripe. Card details never touch our servers.

Detailed refund and billing terms will be published as a separate policy at paid-plan launch.

To the maximum extent permitted by law, Verge is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory. This includes, without limitation, any warranty of:

• Merchantability or fitness for a particular purpose.
• Accuracy, reliability, or completeness of any data or insight.
• Uninterrupted, secure, or error-free operation.
• That defects will be corrected.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under English law — including liability for death or personal injury caused by our negligence, or for fraud.

To the maximum extent permitted by law, in no event will CalmHQ Studio, its founders, contractors, or affiliates be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, savings, or business opportunity.
• Loss of data or content.
• Trading losses, missed trades, or any outcome of decisions you make in connection with using Verge.

Our total aggregate liability arising from or related to Verge, whether in contract, tort, or otherwise, is limited to the greater of: (a) the amount you have paid us in the 12 months preceding the event giving rise to the claim, or (b) £100.

This limit applies even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

You agree to indemnify and hold harmless CalmHQ Studio from any claim, demand, or loss (including reasonable legal fees) arising out of:

• Your breach of these Terms.
• Your use of Verge in violation of applicable law.
• Any content you provide to us that infringes third-party rights.

You may stop using Verge at any time and delete your account.

We may suspend or terminate your access immediately, with or without notice, if you:

• Breach these Terms.
• Use Verge in a way that creates risk or legal exposure for us.
• Are subject to a legal request requiring us to terminate access.

On termination, your account data will be deleted in accordance with the retention schedule in our Privacy Policy.

We may revise these Terms. Material changes (anything affecting your rights, fees, or obligations) will be communicated by email to active users at least 30 days before taking effect. Minor changes (clarifications, formatting, contact details) take effect when posted.

If you continue using Verge after a change takes effect, you accept the revised Terms. If you don't agree, you can terminate your account before the effective date.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, subject to any non-waivable consumer rights you may have under the laws of your country of residence.
